Account Registration and Security

Account Creation

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Maintain and promptly update your account information

• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Terms for Buyers

Purchases

When you make a purchase on MakeSales:

• You enter into a direct contract with the vendor selling the product
• You agree to pay the listed price plus any applicable taxes and shipping fees
• All sales are final unless otherwise stated by the vendor
• Product descriptions, images, and specifications are provided by vendors
• MakeSales is not responsible for product quality, accuracy, or fulfillment

Payment

Payment processing is handled through secure third-party payment processors. You agree to:

• Provide valid payment information
• Authorize charges for your purchases
• Pay all applicable fees and taxes
• Comply with the payment processor's terms and conditions

Returns and Refunds

Return and refund policies are set by individual vendors. Please review the vendor's policy before making a purchase. MakeSales may facilitate dispute resolution but is not responsible for enforcing vendor policies.

Terms for Vendors

Vendor Responsibilities

As a vendor on MakeSales, you agree to:

• Provide accurate product descriptions, images, and pricing
• Fulfill orders promptly and professionally
• Maintain adequate inventory levels
• Respond to customer inquiries in a timely manner
• Honor your stated return and refund policies
• Comply with all applicable laws and regulations
• Pay all applicable fees and commissions to MakeSales

Prohibited Products

Vendors may not list or sell:

• Illegal, stolen, or counterfeit products
• Products that infringe on intellectual property rights
• Dangerous or hazardous materials
• Adult content or services
• Weapons, drugs, or controlled substances
• Products that violate our content policies

Fees and Payments

MakeSales charges vendors a commission on each sale. Payment terms, commission rates, and payout schedules are detailed in your vendor agreement. You are responsible for all taxes related to your sales.

Intellectual Property Rights

Platform Content

The Platform and its content, including but not limited to text, graphics, logos, images, and software, are owned by MakeSales or its licensors and are protected by copyright, trademark, and other intellectual property laws.

User Content

When you post content on the Platform (reviews, comments, product listings), you grant MakeSales a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content in connection with operating the Platform.

You represent and warrant that you own or have the necessary rights to any content you post and that your content does not infringe on the rights of any third party.

Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Post false, misleading, or fraudulent content
• Engage in any form of harassment or abuse
• Attempt to gain unauthorized access to the Platform
• Interfere with the proper functioning of the Platform
• Use automated systems to access the Platform without permission
• Collect user information without consent
• Engage in price manipulation or unfair competition
• Create fake accounts or impersonate others

Dispute Resolution

Between Buyers and Vendors

Disputes between buyers and vendors should first be resolved directly between the parties. MakeSales may provide dispute resolution services but is not obligated to do so and is not liable for the outcome of any disputes.

Arbitration

Any disputes between you and MakeSales shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits or class-wide arbitration.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MakeSales SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

MakeSales's total liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid to MakeSales in the twelve months preceding the claim.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

MakeSales does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or reliability of any content on the Platform.

Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests from law enforcement or government agencies
• Extended periods of inactivity
• Technical or security issues

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law
